There are different costs associated with different types of securities and investors may be responsible for paying fees separate and distinct from those paid to UCWM to invest in such securities. Importantly, the fees specific to what UCWM charges do not include certain fees and charges imposed by third parties such as custodial fees, mutual fund fees and expenses.

A Wrap Fee Program is an investment advisory program in which Clients pay one fee for both investment advisory services and the transaction costs in the account(s). The fee is bundled with UCMW’s costs for executing transactions in the account(s). This results in a higher advisory fee to the Client. UCWM does not charge Clients higher advisory fees based on the trading activity, but Clients should be aware that Universal Capital Wealth Management has an incentive to limit the trading activities in the account(s) because UCWM is charged for executed trades. By participating in a wrap fee program, Clients will end up paying more or less than they would through a non-wrap fee program where a lower advisory fee is charged, but trade execution costs are passed directly through to the Client by the executing broker. For more passively traded accounts, a wrap fee account would normally not be advantageous to the client.

The Program Fee is not based directly upon the actual transaction or execution costs for the transactions within the account(s). Depending on the underlying investments in the Program and how much trading activity occurs, Clients will pay more or less than if they chose another advisory program that does not have a wrap fee, or if Clients chose to pay separately for all the transaction costs (e.g., pay the advisory fee plus all transaction charges). Although UCWM believes its fees are competitive, Clients are hereby advised that lower fees for comparable services are available from other sources.

UCWM’s clients’ assets can also be subject to asset-based transaction fees, brokerage fees and commissions, retirement plan administration fees (if applicable), deferred sales charges on mutual funds, 12b-1 fees, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on custodial accounts and securities transactions. For mutual fund and exchange traded fund (“ETFs”) investments, investors are charged internal management fees, distribution fees and other expenses, which are described in each fund's prospectus.

All custodial fees and any other charges, fees and commissions incurred in connection with transactions for a UCWM client’s account are generally paid out of the assets in their managed account and are in addition to the investment management fees charged by UCWM. Notably, neither UCWM nor any of its associated persons receive any portion of the third-party fees. Investors should consider all fees that may be charged to their account and understand that lower fees for comparable services may be available from other investment advisory firms.

Federal and state insurance and securities rules and regulations prohibit registered representative(s) and/or investment adviser representative(s) from soliciting, offering, and selling any insurance or securities products or providing investment advice until they are properly registered and licensed in each state jurisdiction.

UCWM’s Prime Advisory Portfolio Program fees are billed quarterly in arrears based on the amount of assets managed as of the close of business on the last business day of the previous quarter (excluding cash and cash equivalents). There may be additional fees associated with mutual fund portfolio management and /or ETF internal costs.
